Terms of Service

Effective date: 20 October 2026

About Tekhelp

Tekhelp (Pvt) Ltd is a company registered in Sri Lanka under registration number PV00307724. Contact us at techies@tekhelp.io.

These terms govern use of our website and invoice-payment facility and provide general terms for our services. Our services include technology leadership, software and automation development, systems integration, managed technology services and personal IT assistance.

Your engagement with us

Service scope, deliverables, fees, payment dates, responsibilities and support arrangements are agreed in a signed letter of agreement, statement of work, contract or other service agreement. Agreements may be signed electronically through Zoho Sign or manually. An enquiry does not by itself create a service engagement.

The signed agreement prevails over these general terms where they conflict on the relevant engagement. An applicable signed data-processing addendum governs our processing of client-controlled personal data. A subsequent website policy update does not retrospectively change an existing signed engagement.

If you act for a business, you must have authority to instruct us and approve work and costs on its behalf.

Scope and client responsibilities

We perform the agreed services with reasonable care and skill. You must provide accurate information, timely decisions, authorised system access and any content, licences or approvals needed for the work. You are responsible for having the rights to materials you supply.

You remain responsible for your business decisions and for using deliverables appropriately. Hosting, backups, security administration, support hours and ongoing maintenance are included only to the extent stated in the agreement. We do not promise uninterrupted availability, a particular commercial result or ongoing support outside the agreed scope.

Client delays, unavailable dependencies or changes to instructions may affect delivery dates. We will discuss material effects and revised arrangements with you.

Changes and additional costs

Requests outside the agreed scope may require additional fees or a revised schedule. Before proceeding, we will explain the additional work or expense and its price or maximum authorised budget, together with any known timing impact, and obtain your approval. Approval may be recorded by email or WhatsApp through an authorised contact, unless the agreement requires a signed variation.

Domain names, hosting, software licences, messaging charges and other third-party purchases are charged separately unless expressly included. Charges within a budget or recurring arrangement already authorised in the agreement do not require a separate approval each time. Costs beyond that authorisation require approval. Properly authorised costs remain payable even if you subsequently cancel the engagement.

Fees and payment

Each agreement specifies whether payment is in advance, by deposit and balance, by milestones or under a retainer. Currency, due dates and applicable taxes are stated in the agreement or invoice. There is no automatic entitlement to credit or extended payment terms.

The invoice-payment facility collects payment for invoices already issued. Staff enter billing details, and customers access invoices through a secure link or email verification. Keep links and verification codes private and contact us if you suspect unauthorised access.

Payments are processed through PayHere. Card details are entered on PayHere’s hosted payment page, not stored by the Tekhelp website. The payment page identifies the charge currency and amount. Where an invoice uses a different currency, the displayed conversion rate and charge amount must be reviewed before payment. Your bank may apply its own conversion or other charges.

Where available, you may choose several eligible invoices in the same currency and pay them in one transaction. Payment is allocated by due date and then invoice number. Each invoice is settled only when its outstanding amount is covered. The website does not automatically charge cards or divide an invoice into successive card payments.

Online payments are subject to processing limits and availability. If a payment cannot be accepted online, contact us to arrange another supported method. A blocked or expired payment link does not cancel the underlying invoice; contact us promptly if it affects your ability to pay on time.

Payment is confirmed following gateway or staff verification, not merely when your browser returns to our website. If your bank shows a charge but the result is uncertain, contact us before attempting payment again. Duplicate, mismatched or excess payments are reviewed and reconciled.

For overdue amounts, we may suspend affected work after notice and a reasonable opportunity to resolve the matter, in accordance with the agreement. Any suspension must be handled consistently with our data-protection and handover obligations. Cancellation and refunds are addressed in our Refund and Cancellation Policy.

Ownership and licences

On receipt of full payment due for the relevant engagement, custom deliverables specifically created for you become your property as described in the signed agreement. This may include bespoke design assets, configurations and code created uniquely for your project.

Tekhelp retains ownership of its pre-existing tools, templates, code snippets, libraries and reusable components, including components developed during the engagement that are not uniquely tailored to you and do not incorporate your branding, content or proprietary information. We may reuse those components without disclosing your confidential information.

To the extent Tekhelp-owned components are incorporated in fully paid deliverables, we grant you a non-exclusive, perpetual licence to use, maintain and modify them as part of those deliverables, including through a service provider acting for you. This does not grant a right to sell or distribute those components as standalone products. Different licensing terms may be agreed in writing.

Third-party software, platforms, open-source components and assets remain subject to their respective licences and terms. We cannot assign ownership of a third party’s platform or intellectual property. Your own materials remain yours.

Confidentiality and authorised access

Both parties must protect non-public business information received through the engagement and use it only for the agreed work or another authorised purpose. Disclosure is permitted to authorised personnel and providers who need it for that purpose, or where required by law. This does not cover information lawfully public, independently developed or legitimately received without a confidentiality restriction.

Client-owned hosting and accounts are our preferred arrangement. Tekhelp-managed hosting or administration must be expressly agreed. Access to client message content for ongoing support is provided only under an applicable maintenance agreement and limited to authorised work. Development and testing access must be specifically authorised and should use test data wherever practicable.

Meta and WhatsApp integrations

These provisions apply only when a signed engagement includes a Meta or WhatsApp integration. They do not represent that every described feature is available or that Tekhelp has a particular Meta accreditation.

An engagement may include authentication/OTP or transactional messaging. Other capabilities, such as template management, campaigns, support inboxes, automation, chatbots and CRM integration, require separate scope and authorisation. Availability depends on the implementation and relevant platform permissions.

You must authorise access to the relevant business assets, maintain accurate business information, and comply with the applicable Meta and WhatsApp terms and messaging policies. You are responsible for your recipients, message content, appropriate notices and permissions, and respecting opt-out requests. Unsolicited messaging, misleading communications, unauthorised use of another business’s identity, and prohibited activities are not permitted.

Messaging must follow applicable template and messaging-window requirements. Automated interactions must provide an appropriate route to human assistance. Third-party platforms determine account access, template approval, delivery restrictions and their charges; we cannot guarantee their decisions or message delivery.

Where Tekhelp processes messaging data for you, we act on your documented instructions for the agreed services, under the applicable data-processing addendum. We do not use that data for our own marketing or unrelated purposes. Third-party AI processing requires project-specific agreement identifying the provider, purpose, data handling and applicable restrictions; it is not included by default.

We may pause affected integration activity if necessary to address unauthorised access, unlawful messaging, a security risk or a platform requirement, notifying you where reasonably possible. Platform suspension does not automatically establish a refund entitlement or remove any responsibility Tekhelp has for its own breach.

Acceptable website use

Do not attempt to access another customer’s invoices, misuse verification codes, interfere with security, submit malicious content or make fraudulent payments. We may restrict access to protect the service and investigate misuse.

Liability

To the extent permitted by law, Tekhelp’s aggregate liability arising from or relating to an engagement, whether in contract, negligence or otherwise, is limited to the service fees actually paid to Tekhelp for that affected engagement. It is not the unpaid contract value. Separately identified third-party costs collected for payment to providers are not Tekhelp service fees.

To the extent permitted by law, Tekhelp is not liable for indirect or consequential losses, including indirect loss of profit, revenue or business opportunity. Nothing in these terms excludes liability that cannot lawfully be excluded or limits a refund or other remedy that the law requires. This limitation does not reduce your obligation to pay amounts properly due.

Governing law and disputes

These terms and engagements with Tekhelp are governed by the laws of Sri Lanka. The parties will first seek to resolve disputes through good-faith discussion. If a dispute remains unresolved, it will be submitted to the courts of Sri Lanka.

Updates and contact

We may update these terms for future website use and engagements, displaying the effective date above. Contact techies@tekhelp.io with questions.
